  • Regional services companyAdds equipment, crews and customers within its current service area.

  • Experienced operator with SBA backingKnows the work and wants a company with good equipment and a booked calendar.

Buyers look at the whole cycle

Oil prices move up and down, so buyers study several years of results rather than the latest quarter. A very strong year just before listing can raise suspicion instead of the price.

Present three to five years of statements, with notes on what drove the high and low points.

Customer concentration

Many service companies work for a small group of operators. When the top accounts exceed roughly a fifth of sales, buyers often discount by that share or ask for a structure that shifts risk to the seller.

That can mean earnouts or a seller staying on for a transition. Both reduce the cash you receive at closing.

Equipment and safety

Rigs, trucks, tanks and tools carry a lot of the value, and buyers inspect them. Keep maintenance logs and a clear list of what is owned, leased or financed.

Safety records and insurance history show a buyer whether the company can win work from careful operators.

Crew depth

Buyers ask who runs the crews, who talks to the customers and what happens if the owner leaves. Experienced field leaders raise the price.
